These terms apply when you use Tikeza to create events, sell tickets, promote events as a creator, run campaigns or buy tickets. Tikeza is operated by Texa. By creating an account, connecting a social account or placing an order you agree to these terms.
1. Who these terms cover
Organisers are people and companies who create events and sell tickets on Tikeza. Creators are people who promote events on Tikeza in return for a commission or a campaign reward. Buyers are people who order tickets or register for events, on the web or over WhatsApp. Some sections apply to only one of them, and say so.
If you use Tikeza on behalf of a company, you confirm that you may bind that company to these terms.
2. Your account
Give accurate details when you sign up and keep them up to date. Keep your password safe and turn on two-factor sign-in. You are responsible for what happens in your account, including actions by team members you invite.
You must be old enough to form a binding contract where you live.
3. What Tikeza does
Tikeza provides software for organisers to publish event pages, sell tickets, take payments, check in attendees and manage their events, and for creators to promote events and get paid for the sales and results they bring.
Tikeza is not the organiser of the events listed on it. The organiser is responsible for the event: its date, venue, content, safety, permits, and what happens on the day.
4. Organiser responsibilities
Describe your event honestly, including price, date, venue, age limits and anything a buyer needs to know before paying.
Hold the rights to sell tickets for the event and to use the names, images and music on your page and in the posts you publish or ask creators to publish.
Publish your own refund policy and honour it. Where you do not publish one, our refund policy applies.
Follow the law that applies to your event, including consumer, tax and data protection law, and use buyer data only to run your event and as the buyer has agreed.
5. Payments, fees and payouts
Buyers pay by card through Stripe, or by mobile money through our payment partners Fincra and MooniePay. For new collections, Tikeza collects the payment as merchant of record and then pays the organiser’s share to the payout account the organiser adds in the app. Where an organiser is set up to receive payments in their own payment provider account, that provider pays the organiser directly.
Tikeza charges a fee on paid tickets. The fee is shown to you before you publish an event. You choose whether to absorb it or pass it on to buyers. Payment providers may charge their own processing fees.
We pay organisers after deducting fees, refunds and chargebacks. Payout timings and any payout fees are those shown in the app. We may hold or delay a payout when we suspect fraud, when many orders are disputed or when the law requires it.
You are responsible for the taxes on your ticket sales.
6. Buying tickets
When you buy a ticket, your contract for the event is with the organiser. Tikeza processes the order on the organiser’s behalf and, where it collects your payment as merchant of record, receives the payment and passes the organiser’s share on to them.
Your ticket is sent by email, or over WhatsApp if you bought it there. Keep its QR code private: the first scan at the door admits the holder. Refunds are handled under the organiser’s refund policy or, where none is published, under our refund policy.
7. Creators
To become a creator you must be old enough to form a binding contract where you live, give accurate profile and payout details, and only connect social accounts that you own or are authorised to manage.
Each creator gets one creator code that works across Tikeza, and organisers can make offers for their own events. When a buyer orders with your code or one of your links, the order is attributed to you. Your code is personal: do not sell it, transfer it or let someone else use it.
The commission and conditions of an offer are the ones shown in the app when you accept it. If you disclose that you are paid to promote an event, do it the way the law and each network require.
You can close your creator profile from the app. Closing is permanent: your code stops working, and open offers and campaign participations end. Your earnings and payout history are kept.
8. Commissions, reversals and recovery
A commission is recorded when an order attributed to you completes, and becomes available for payout once the conditions shown in the app are met.
If the order is refunded, cancelled or charged back, the commission on it is reversed. If you have already been paid that commission, the reversed amount becomes an amount you owe. We may recover it from your future earnings, and if it is not covered within a reasonable time, we may ask you to repay it.
9. Creator payouts
Creators are paid to the mobile money or bank account they add in the app, through our payout partners such as Fincra and MooniePay. We may check that the account is in your name before paying it.
Payout fees, any minimum amount and timings are those shown in the app when you request a payout. We may hold a payout while a check, a dispute or an amount you owe is open.
You are responsible for the taxes on your earnings. We may ask for information we need to meet our own tax and legal duties.
10. Quality checks, holds and appeals
We check clicks, orders and post results automatically, using statistical signals, to detect fraud and artificial engagement. When a check flags a result, we may hold the related reward while a person reviews it. A flag on its own is not a finding of fraud.
You can see a hold in the app and appeal it there, or write to us, with any evidence you have. We review the appeal and tell you the outcome.
If we confirm fraud, we cancel the rewards concerned, reverse any that were already paid as an amount you owe, and may close your creator profile and end your participation in campaigns.
11. Prohibited practices for creators
Buying views, likes, followers, comments or clicks, or using bots, click farms, engagement groups or any other way to inflate results artificially.
Using fake accounts, accounts you do not control, or accounts whose audience is made up of fake followers.
Self-referral: using your own code or links to buy tickets for yourself, or having people you control or pay do so, to earn a commission or reward.
Misleading buyers about an event, its price or your relationship with the organiser, or posting content that breaks the law or the network’s rules.
12. Campaigns
Organisers can run campaigns that pay creators for the results of their posts, such as views, impressions, reach or clicks. The organiser funds a campaign in advance, and Tikeza holds the funding to pay the campaign’s rewards.
Each campaign shows its reward formula, budget, rules and dates. The reward formula that applies is the one shown in the app when the organiser funds the campaign and when the creator joins it.
Rewards are calculated from the figures each network reports to Tikeza, after our quality checks. A post on a network that does not report the campaign’s metric cannot earn a reward for it. We are not responsible for errors or delays in the figures a network reports.
Tikeza charges a campaign fee. The fee, and whether it is returned on funding that is not spent, are shown in the app before the organiser funds the campaign. When a campaign ends, funding not spent on rewards is returned to the organiser on those terms.
13. WhatsApp and AI features
Organisers can sell tickets and answer buyers over WhatsApp through Tikeza, with the option of handing the conversation over to a person on their team. Organisers are responsible for the replies their team sends and must follow WhatsApp’s business policies. Buyers can reply STOP at any time to stop receiving messages, or HUMAN to talk to the event team.
Some features use artificial intelligence, such as caption suggestions for posts and the WhatsApp sales assistant. AI can make mistakes. Captions are only suggestions: you review and approve every post before it is published, and you are responsible for what you publish. The prices and availability shown at checkout prevail over anything the assistant says.
14. Third-party platforms
When you connect a social account or use WhatsApp through Tikeza, you must also follow that network’s own terms and policies, including those of Meta (Facebook, Instagram, Threads and WhatsApp), TikTok, YouTube, X, LinkedIn, Pinterest and Telegram.
By connecting a YouTube channel, you agree to be bound by the YouTube Terms of Service.
Tikeza publishes only the posts you approve. You can disconnect an account at any time. Networks can change or withdraw their features, and when they do, some Tikeza features may stop working for that network.
15. Acceptable use
You may not use Tikeza for anything our acceptable use policy forbids, such as fake events, unlawful events, spam or attempts to break the service.
16. Suspension and closing accounts
We may suspend or close an account or creator profile, unpublish an event or post, hold rewards or cancel orders when these terms are broken, when we are required to by law, or to protect buyers from fraud.
You can close your account at any time from your settings. We keep financial records for as long as the law requires. Our user data deletion page explains how.
17. Software and content
The Tikeza software is open source under the GNU Affero General Public License, version 3. The Tikeza name and logo are not covered by that licence.
You keep the rights to the content you upload. You allow us to host, show and share it as needed to run your events and campaigns, including publishing it to the social accounts you connect when you approve a post.
18. Liability
We work to keep Tikeza available and correct, but we provide it as it is. As far as the law allows, we are not liable for indirect losses, lost profits or problems caused by an event itself, a payment provider, or a network outside our control.
Where the law allows us to limit our liability, our total liability to an organiser is limited to the Tikeza fees that organiser paid in the twelve months before the claim. Nothing in these terms limits liability that cannot be limited by law.
19. Changes to these terms
We may update these terms. We will tell organisers and creators by email at least 14 days before a significant change takes effect. The date at the top of this page shows the latest version.
20. Law and disputes
These terms are governed by the laws of Nigeria. Before going to court, please write to us so we can try to solve the problem together.
